vocabulary/grammar
An assignor assigns their rights to an assignee.
A licensor provides a licence to a licensee.
When IP rights are assigned to third party:
The assignor usually has to guarantee that the IP is free from encumbrance.
An encumbrance is a right or interest that exists and restricts the transfer of something.
If there is an infringement of rights the law is broken there often is a clause the penalty if this happens.
In legal English when there is a noun en ding in ‘or’ describing a party that provides something there is often a noun ending in ‘ee’ describing the party that receives a benefit because of the action:
mortgagor gives a mortgage to a mortgagee
a bailor takes something to be fixed to a bailee
a bailor temporarily relinquishes possession of something to a bailee
a promisor makes a promise to a promisee
